1. Acceptance
By accessing or using agentechrecruiting.com (the “Site”) or any services provided by AgenTech Recruiting LLC (doing business as AgenTech Recruiting, “AgenTech,” “we,” “us”), you agree to be bound by these Terms of Service. If you don't agree, please don't use the Site.
2. What we do
AgenTechis a US-based tech recruiting agency that connects companies hiring agentic AI engineers (“Clients”) with qualified engineers (“Candidates”). We are not an employer of record, an employment platform, or a job board.
3. Use of the Site
You agree to use the Site only for lawful purposes consistent with these Terms. You agree not to:
- Submit false, misleading, or impersonated information.
- Use the Site to harvest contact information, scrape content, or build a competing service.
- Attempt to gain unauthorized access to any systems, agents, or data.
- Submit malicious files (resumes or otherwise) or interfere with normal operation.
4. Candidate terms
Candidates pay nothing. Standard recruiting agency economics: our fees are paid by Clients on placement. We do not charge candidates any fee, ever.
You retain ownership of your resume and profile data. By submitting, you grant AgenTech a non-exclusive license to use that data for the purpose of evaluating your fit for opportunities and presenting you to specific Clients with your prior consent for each introduction.
You can withdraw or delete your profile at any time by emailing hello@agentechrecruiting.com.
5. Client terms
This section is our default. Concrete fees, replacement windows, and exclusivity are negotiated per engagement and set out in a signed engagement letter, which governs if it conflicts with anything below. Until that letter is signed, no fee is owed and no exclusivity is implied.
Our default commercial model:
- Contingent fee. No retainer. A fee is owed only when a Candidate we introduced is hired into a role for which we were engaged.
- Net-30 payment terms.Invoices issued on the Candidate's start date, payable within 30 days.
- 90-day replacement window.If a placed Candidate leaves or is terminated for cause within 90 days of start, we'll run a one-time replacement search at no additional fee.
Candidate profiles shared during a search are confidential to your organization for the purpose of that search and may not be redistributed, scraped, or stored beyond the bounds of the engagement letter.
6. AI features
Some interactions on this Site are powered by AI agents (“Agents”) we built using third-party large-language models. We'll always tell you when you're interacting with an Agent rather than a human.
Agents may make mistakes. Output from an Agent is informational and does not constitute legal, employment, or compensation advice. Hiring decisions remain entirely with the Client.
7. Intellectual property
All content on the Site — including the role definitions, written copy, code, design system, and Agent prompts — is owned by AgenTech unless otherwise marked. You may not reproduce, distribute, or create derivative works from that content without our written permission.
Your submissions (resume, messages, etc.) remain yours. See Section 4 for the limited license you grant us.
8. Disclaimers
The Site is provided “as is” and “as available.” We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that any candidate will be placed, that any search will succeed, or that any specific opportunity will be available to you.
9. Limitation of liability
To the maximum extent permitted by law, AgenTech and its founders will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenue, arising out of or related to your use of the Site or our services. Our total cumulative liability for any direct damages will not exceed the greater of (a) the fees actually paid to us by you or on your behalf in the 12 months preceding the claim, or (b) US $100.
10. Indemnification
You agree to indemnify and hold harmless AgenTechfrom any claims arising out of (a) your breach of these Terms, (b) your misuse of the Site, or (c) any content you submit that infringes a third party's rights.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. This is a default that a signed engagement letter may override.
Before either side files anything, we agree to spend 60 days trying to resolve the dispute in good faith — a real email exchange or call between principals, not a form letter.
Either side may bring an individual claim in small-claims court if it qualifies. Either side may also seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, security, privacy, or data rights.
If informal resolution does not resolve the dispute and no carve-out applies, the dispute will be settled by binding arbitration administered by the American Arbitration Association. Candidate disputes use the AAA Consumer Arbitration Rules where those rules apply; Client disputes use the AAA Commercial Arbitration Rules. The seat of arbitration is Wilmington, Delaware, but Candidate hearings may proceed by video, phone, or written submissions unless the arbitrator requires otherwise.
You may opt out of arbitration within 30 days after first accepting these Terms by emailing privacy@agentechrecruiting.comwith the subject “Arbitration opt out” and the name and email address you used with the Site. Opting out does not affect the rest of these Terms.
Each side waives any right to bring or participate in a class, collective, or representative action; disputes are resolved on an individual basis only. If that waiver is found unenforceable for a particular claim, that claim must proceed in court, not in arbitration, and the rest of this Section 11 remains enforceable to the maximum extent permitted by law.
12. Changes
We'll post material updates here with a new “Last updated” date. Your continued use of the Site after a change constitutes acceptance.
13. General terms
If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in effect and the invalid provision will be limited or severed to the minimum extent necessary. Our failure to enforce a provision is not a waiver of our right to enforce it later.
These Terms, together with our Privacy Policy and any signed engagement letter, are the entire agreement between you and us for the Site and services. If a signed engagement letter conflicts with these Terms, the engagement letter controls for that engagement.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets. Legal notices to us must be sent to privacy@agentechrecruiting.com. We may send notices to the email associated with your account, the email you used to contact us, or by posting an update on the Site.
